Eligible Shareholders may apply for one (1) CRRAC option (Loyalty Option) for every ten (10) existing Shares held at the Record Date, at an issue price of $0.001 per Loyalty Option (Offer), to raise up to approximately $319,410 (before costs). Each Loyalty Option entitles the holder to subscribe for one fully paid ordinary share at $0.008, exercisable at any time on or before 23 April 2028. The Company will apply for quotation of the Loyalty Options subject to compliance with the requirements of ASX and the ASX Listing Rules, as set out in the Prospectus. The Entitlement Offer is made under the prospectus lodged by the Company with ASIC and the ASX on Monday, 4 May 2026 (Prospectus). The Prospectus can be accessed at the Company’s website www.criticalresources.com.au or through the ASX website www.asx.com.au. Capitalised terms used, but not defined in this announcement, have the same meaning given to those terms used in the Prospectus. All holders of the Company’s Shares with a registered address in Australia or New Zealand as at 5.00pm (AWST) on Friday, 8 May 2026 (Eligible Shareholders) are eligible to participate in the Entitlement Offer. The eligibility criteria are set out in the Prospectus. The Company advises that it will today complete dispatch of the Prospectus and personalised Application Forms to Eligible Shareholders. A letter is also being dispatched to Ineligible Shareholders today pursuant to ASX Listing Rule 7.7.1(b).
