CRITICAL RESOURCES SECURES EXCLUSIVITY OVER SECOND
SURINAME PROJECT ~35 KM FROM ZIJIN’S ROSEBEL GOLD MINE
Greenstars Gold Project sits in the greenstone belt that hosts Zijin’s producing and expanding Rosebel
gold mine and would take CRR interests to approximately 199 km² of granted gold mining rights
across two Suriname projects.
- Second Suriname gold project. Critical Resources has secured exclusivity to acquire a 90% interest in
the Greenstars Gold Project (’Project’), a granted gold exploitation (mining) right covering
approximately 35 km² in the Para District of Suriname. Greenstars follows the Gonini Gold Project
announced on 23 September 2026.
- 35 km from Zijin’s Rosebel gold mine. Greenstars lies approximately 35 km west of Rosebel, which
reportedly produced 5.65 Moz of gold between 2004 and 2021 and a further 306,000 oz in 2025. Zijin
Mining acquired Rosebel for US$360 million in 2023. Saramacca, Zijin’s satellite deposit that supplies
ore by road to the Rosebel plant, is approximately 34 km south-east of the Rosebel Project1,2,3,4.
- ASX-listed first-mover in Suriname gold. Subject to completion of both proposed acquisitions, CRR
would hold 90% interests in approximately 199 km² of granted gold mining rights across Gonini and
Greenstars. No other ASX-listed Australian company holds rights to granted gold tenure in Suriname5.
- Major gold investors are backing Suriname explorers. Gold Fields completed a C$77 million
investment in Founders Metals in September 2026, lifting its stake to approximately 19.9%, and La
Mancha holds 19.9% of both Miata Metals and Greenheart Gold. All three are Canadian-listed
explorers working in the same Suriname greenstone belt.8,9,10.
- Granted mining title. The Greenstars exploitation right permits exploration, mining, processing and
sale of gold, subject to applicable approvals, and was granted in 2022 on conversion of the Vendor’s
exploration right. Renewal of the right, which runs to May 2027, will be condition of Completion.
- Active artisanal gold mining on the Project. Small-scale artisanal miners are working alluvial gold in
the Project area (Figures 3 to 5). The Vendor reports sampling, trenching and shallow drilling between
2018 and 2020 and identified two areas it considers prospective. The Company has not verified this
work and reports no Exploration Results.
- Fieldwork to commence. A site visit, recovery of the Vendor’s original data and verification sampling
will be carried out during the exclusivity period, with first-pass auger geochemistry across the right to
follow once the conditions precedent are met.
Critical Resources Limited (ASX: CRR) (Critical Resources or the Company) is pleased to announce that it has
entered into an exclusivity agreement and negotiated key commercial terms with Greenstars Resources N.V.
(the Vendor), an arm’s length private Surinamese company, for the proposed acquisition of a 90% interest in
the Greenstars Gold Project (Greenstars or the Project) for staged cash and share consideration (the
Acquisition).

Greenstars comprises a single granted right of exploitation for gold, GMD 922/21, covering approximately
3,500 ha (~35 km²) in the Para District, west of the Saramacca River. It is the Company’s second gold project
in Suriname, following the Gonini Gold Project announced on 23 September 2026, and delivers on the
Company’s strategy to build a portfolio of gold projects in Suriname and the wider Guiana Shield.
Completion of the Acquisition will be subject to conditions precedent, including renewal of the right (or
lodgement of a renewal application to the Company’s satisfaction) and the prior written approval of the
Minister of Natural Resources. On Completion, the Company will hold 90% of the shares in the Project. The
negotiated but non-binding terms are summarised under Acquisition Terms below.
Figure 1 – Location of Greenstars and Gonini Gold Projects and other gold occurrences within Suriname and
the greenstone belt.
Critical Resources Managing Director, Tim Wither, commented: ‘Greenstars is the second step in building
our Suriname portfolio, and it follows directly from our strategy to build a portfolio of gold projects.
Greenstars is a granted mining right in an under-explored part of the greenstone belt that hosts Zijin’s
Rosebel mine and its Saramacca satellite operations.
‘Past and active small-scale alluvial workings in the area give us a practical starting point for systematic
exploration. The Project is road-accessible from Paramaribo, so our team can mobilise quickly and run field
programs efficiently.

‘We have structured the acquisition with discipline, and we can withdraw at any time. Costs to Completion
will be met from our existing cash reserves. Our plan is clear: confirm the title, test the ground and let the
results drive the next step. On completion, Greenstars and Gonini would give Critical Resources two
complementary granted gold projects in Suriname.’
SURINAME STRATEGY
The Company’s strategy is to build a portfolio of gold projects in the Suriname greenstone belt that can be
explored efficiently and acquired on staged terms. Greenstars is the second step, following the Gonini Gold
Project:
- Disciplined growth. The Company continues to review further gold opportunities in Suriname and the wider
Guiana Shield and will pursue only those that meet its criteria for title, access and cost of entry.
- Complementary assets. Gonini provides scale, with approximately 164 km² of granted exploitation rights
in the historic Sara Creek district. Greenstars provides road access from Paramaribo and proximity to
established mining infrastructure around Zijin’s Rosebel operation.
- Capital discipline. Both acquisitions are staged, with most of the consideration deferred, conditional on
Completion and subject to reversion. Before Completion, the Company’s commitment to Greenstars is
limited to US$40,000, and it may withdraw at any time.

GREENSTARS GOLD PROJECT
Location and access. The Project is located in the Para District of northern Suriname, west of the Saramacca
River and approximately 10 km west of the village of Loksie Hatti. It is reached from Paramaribo by road via
Zanderij and Loksie Hatti, a road distance of approximately 85 km. Internal roads, former logging tracks and
cut grid lines provide further access within the Greenstars Project (Figure 2).
Geological setting. The Project lies within the Paleoproterozoic greenstone terrane of the Guiana Shield, which
hosts Suriname’s major gold operations6. Regional mapping by the Geology and Mining Department (GMD)
shows the southern part of the right to be underlain by north- to north-east-trending metamorphosed
sedimentary and volcanic rocks, including phyllite and metachert, intruded by biotite granite to the south-
west and partly covered by younger unconsolidated sands7. Across the Suriname greenstone belt, primary
gold mineralisation is typically orogenic and associated with quartz veining, lithological contacts, granitoid
margins and shear zones, and a deep tropical weathering profile has generated the secondary gold worked
by small-scale miners6. Zijin’s Rosebel mine and its Saramacca satellite deposit lie approximately 35 km east
and 34 km south-east of the Project respectively; Saramacca is hosted by metamorphosed basalts of the
Paramaka Formation1.
Previous exploration. The area was first explored by the GMD and, in the 1990s, by Golden Star, which carried
out geochemical exploration for gold in the Coesewijne gravels. The Vendor was granted an exploration right
over the area in 2018 and reports that, between 2018 and 2020, it carried out aerial and ground
reconnaissance, stream-sediment and regolith sampling, trenching and shallow drilling, and identified two
areas that it considers prospective. On the basis of that work the Vendor applied in 2021 to convert its
exploration right into the current exploitation right. The Vendor’s report does not include verifiable sample
locations, drill-hole details or complete original laboratory certificates. The Company has not verified the work,
does not rely on it, and reports no Exploration Results. Verification of the Vendor’s data and independent
sampling by the Company form part of due diligence.
Granted exploitation right. The Greenstars permit is an exploitation right that confers on its holder the exclusive
right to mine, process, transport and market the minerals for which it is granted, to construct works and
buildings on the terrain, and to continue exploration. The grant conditions include quarterly reporting to the
GMD, the use of mercury-free recovery methods, payment of annual surface rights and payment of a royalty
on gold sold to the Central Bank of Suriname.
Exploitation rights may be extended on request to the Minister. Renewal of the right, or lodgement of a
renewal application to the Company’s satisfaction, is a condition precedent to Completion, and the
Company will make no payment beyond US$40,000 unless that condition is satisfied. Transfer of the right into
the joint venture company requires the prior written approval of the Minister and registration, and forms part
of the conditions precedent.
REGIONAL SETTING – A PRODUCING GOLD DISTRICT
Rosebel. The Project lies approximately 35 km west of the Rosebel gold mine, Suriname’s first large-scale open-
pit gold operation, which has produced continuously since 20042,4. Rosebel reportedly produced
approximately 5.65 Moz of gold between 2004 and 2021, and Zijin Mining acquired it from IAMGOLD for
US$360 million, completing in January 20232. Rosebel reported gold production of 306,535 oz in 2025, up 5.5%
on the previous year3, and Zijin reports that mine and plant expansions are under way4. The operation mines
weathered and fresh greenstone-hosted ore by open pit and processes it at a central plant1,4.

Saramacca. The Saramacca deposit, approximately 34 km south-east of the Project, had reserves declared
by IAMGOLD in 2018 and was developed as a satellite source of ore for Rosebel, with ore trucked
approximately 36 km along a purpose-built haul road to the Rosebel plant1. It is hosted by metamorphosed
basalts of the Paramaka Formation1. The development of Saramacca shows that the Rosebel operation
draws on satellite deposits within trucking distance of its plant1.
Why this matters. The Project sits in the same greenstone terrane as an operating, expanding gold mine
owned by a major international producer, within established mining infrastructure, workforce and supply
chains in northern Suriname3. This does not mean that the Project hosts, or will host, mineralisation of the type,
grade or scale found at Rosebel or Saramacca.
Cautionary Statement – References to Rosebel and Saramacca relate to properties owned by third parties
and are drawn from their public disclosures. They have not been verified by the Company and are not
indicative of mineralisation on the Project. No Exploration Results are reported for the Project.
Figure 3 – Small-scale (garimpeiro) alluvial workings in the Greenstars Project area, circa 2024 (photograph
supplied by the Vendor). The workings are operated by third parties, not by the Vendor or the Company.
EXPLORATION STRATEGY
The Company’s approach is to verify previous exploration work with its own sampling before committing to
larger programs:
- Site visit and community engagement. Inspection of the right and its access, and engagement with local
communities in the area and with any small-scale operators active on the right.
- Data compilation. Recovery of the Vendor’s original field records and laboratory certificates, and their
compilation with regional GMD mapping and remote-sensing structural interpretation.

ASX:CRR
- Due Diligence sampling. Stream-sediment, soil and regolith sampling over the areas identified by the
Vendor, with appropriate QA/QC procedures and analysis by an accredited laboratory.
- First-pass auger geochemistry. Subject to conditions precedent, a systematic auger program across the
right, sampling beneath transported cover and into saprolite, using the auger capacity planned for the
Company’s Suriname program.

ACQUISITION TERMS
The Company has entered into an exclusivity agreement with Greenstars Resources N.V. (the Vendor), holder
of 100% of the exploitation right comprising the Project (Appendix A), setting out the key commercial terms
below, to be documented in a formal binding acquisition agreement, for the Company to acquire 90% of
the shares in a Surinamese company (N.V.) that will hold the Project (the Acquisition). None of the Vendor’s
shareholders, directors or officers are persons to whom ASX Listing Rule 10.1 applies.
No person referred to in Listing Rule 10.11 will be issued securities in connection with the Acquisition. The
Company does not consider that the Acquisition will result in a significant change to the nature or scale of its
activities for the purposes of Listing Rule 11.1.
- Exclusivity. The Vendor has granted the Company exclusivity for 60 days from payment of a US$10,000
exclusivity fee, extendable once by the Company by up to 30 days. The exclusivity fee is non-refundable
(unless the Vendor breaches the exclusivity terms) and is payable in addition to the signing payment.
- Signing payment. US$30,000 on execution of the formal acquisition agreement, in addition to the
exclusivity fee.
- Conditions precedent. Satisfactory legal, title and technical due diligence, including written GMD
confirmation that the right is in good standing and verification sampling; correction of the corner
coordinates recorded in the decree; renewal of the right, or a renewal application having been lodged
to the Company’s satisfaction; the prior written approval of the Minister of Natural Resources; a
shareholders’ resolution of the Vendor approving the Acquisition; resolution of any third-party mining
activity on the right; and any approvals required under the ASX Listing Rules.
- Completion payment. On satisfaction of the conditions precedent (Completion), US$170,000 cash and
2,500,000 CRR shares (Consideration Shares). The Consideration Shares will be issued using the Company’s
placement capacity under Listing Rule 7.1, subject to any necessary shareholder and regulatory
approvals.
- Deferred consideration. Year 2 US$200,000; Year 3 US$350,000. Total cash consideration is US$750,000 over
three years, in addition to the US$10,000 exclusivity fee.
- Joint venture. CRR 90% / Vendor 10%, held through a Surinamese company. The Vendor’s 10% interest is
free-carried by the Company to a decision to mine, after which the Vendor may contribute pro rata or
convert its interest into a 1.0% net smelter return royalty, which the Company may purchase for
US$1,000,000.
- Reversion and withdrawal. If the Company fails to make a payment when due and does not remedy the
failure within 60 days of notice, its 90% interest reverts to the Vendor at no cost. The Company may
withdraw at any time, including if the right is not renewed, with no further payments due.
- Existing liabilities. All liabilities arising from activities on the right before Completion, including
environmental liabilities, remain with the Vendor.
- Finder's fee. The Company is proposing to pay a fee of 5% of the total Acquisition consideration payable
to an independent, unrelated adviser who introduced the Project, payable only from Completion and
progressively as consideration is paid, issued or incurred, in cash or CRR shares based on a deemed issue
price equal to CRR’s 10-trading-day volume-weighted average price (VWAP) and prevailing RBA
exchange rates, at the adviser's election, subject to shareholder and/or regulatory approvals, if required.
