CRITICAL RESOURCES SECURES EXCLUSIVITY OVER THIRD
SURINAME GOLD PROJECT, ~4 KM FROM ZIJIN’S ROSEBEL MINE
Gadu Manda is a granted exploration permit, ~4 km west of Zijin’s producing Rosebel pits, taking
CRR’s Suriname portfolio under exclusivity to ~228 km² of granted gold rights across three projects.
- Third Suriname gold project. Critical Resources has secured exclusivity to acquire a 90% interest in the
Gadu Manda Gold Project, a granted exploration permit covering approximately 29 km² in the
Brokopondo District of Suriname. Gadu Manda joins the Company’s Gonini and Greenstars Gold
Projects5,11, over which the Company secured exclusivity in September 2026.
- ~4 km from Zijin’s Rosebel open pits. The Project’s eastern boundary is approximately 4 km from the
western open pits of Rosebel, which has produced more than 6 Moz of gold since 20041,2,3.
- Small-scale gold workings. Small-scale miners have worked the northern part of the permit area,
excavating pits and trenches that expose quartz veining.
- ~228 km² Suriname portfolio. Subject to completion of all three Suriname acquisitions, CRR will hold
90% interests in approximately 228 km² of granted gold rights across Gonini (~164 km²), Greenstars
(~35 km²) and Gadu Manda (~29 km²).
- On the ground in Suriname. Management is in Suriname completing due diligence across the Gonini,
Greenstars and Gadu Manda projects. Structural targeting by Guiana Shield geophysics specialists
across the permit areas is currently under way14.
- Staged entry. The consideration comprises US$200,000 in cash over two years (including a US$10,000
exclusivity fee) and 2,500,000 CRR shares, with a US$200,000 minimum exploration commitment. The
Company may withdraw from the transaction at any time.
Critical Resources Limited (ASX: CRR) (Critical Resources or the Company) is pleased to announce that it has
entered into an exclusivity agreement and agreed key commercial terms with N.V. Gadu Manda Wang Kai
(the Vendor), an arm’s length private Surinamese company, to acquire a 90% interest in the Gadu Manda
Gold Project (Gadu Manda or the Project) for staged cash and share consideration (the Acquisition).
Gadu Manda comprises a single granted right of exploration, covering approximately 2,920 ha (~29 km²) in
the Brokopondo District, approximately 4 km west of the open pits of Zijin’s Rosebel gold mine (Figure 1). It is
the second project near Rosebel over which the Company has secured exclusivity, alongside the Greenstars
project11.
Completion of the Acquisition (Completion) is subject to conditions precedent, including due diligence and
the prior written approval of the Minister of Natural Resources. On Completion, the Company will hold a 90%
interest in the Project. The key terms, which are to be documented in a binding acquisition agreement, are
summarised in the Acquisition Terms section below.

the Suriname greenstone belt. Resource and reserve figures shown for third-party deposits are drawn from
their owners’ public disclosures, have not been verified by the Company and are not necessarily reported in
accordance with the JORC Code.
Critical Resources Managing Director, Tim Wither, commented: ‘Gadu Manda will be a strong addition to
our Suriname portfolio. The Project is located about 4 km from the pits of Zijin’s Rosebel mine, on ground
already being worked by small-scale miners. This gives us a head start in developing our understanding of
the Project.
‘Together with Gonini and Greenstars, Gadu Manda will give Critical Resources three granted gold
projects in a proven gold province. We are currently in Suriname completing due diligence on all three
projects, including site visits, while high-level structural targeting work is under way.
‘We thank our vendors for their trust and support. Being here, there is a real sense of opportunity in
Suriname, and we look forward to building a strong and successful portfolio in the country and getting
boots on the ground for our first field programs as soon as possible.’

SURINAME GOLD PORTFOLIO
The Company is securing a portfolio of granted gold projects in the Suriname greenstone belt, acquired on
staged terms. Gadu Manda is the third project, following Gonini and Greenstars5,11:
- Gonini (~164 km²). Two granted exploitation rights in the historic Sara Creek district, where gold was
discovered in 1876, approximately 66 km from Newmont’s Merian mine5,15.
- Greenstars (~35 km²). A granted exploitation right in the Para District, accessible by road from Paramaribo
and approximately 35 km west of Zijin’s Rosebel mine11.
- Gadu Manda (~29 km²). A granted exploration right approximately 4 km west of Rosebel’s open pits,
giving the Company two projects near Rosebel (Figure 2).
Figure 2 – Location of the Gadu Manda and Greenstars Gold Projects relative to Zijin’s Rosebel operation,
road access and alluvial workings.4
GADU MANDA GOLD PROJECT
Location and access. The Project lies in the Brokopondo District of northern Suriname, west of the Afobakaweg
and between the villages of Loksie Hatti to the north-west and Nieuw Koffiekamp to the east. Tracks and cut
lines extend from the east into the northern part of the permit area (Figure 5). The Rosebel mine area lies
approximately 80 km from Paramaribo by sealed road.
Geological setting. The Project lies within the Paleoproterozoic greenstone terrane of the Guiana Shield, which
hosts Suriname’s major gold operations6. Regional mapping shows the Project to be underlain by Lower
Proterozoic meta-arenite, metavolcanic and meta-conglomerate rocks. At Rosebel, gold is hosted in quartz-
carbonate veins along structures and contacts within similar metamorphosed volcano-sedimentary rocks. A
deep tropical weathering profile has generated the secondary gold worked by small-scale miners across the
belt6.

Previous work and workings. The Project area previously formed part of ground held by Rosebel Gold Mines
N.V. (RGM) under its previous owner, IAMGOLD, and was relinquished as part of RGM’s obligations. The
Vendor held the area under an earlier right from 2020 to 2025, and the current right was granted on its
renewed application. Small-scale miners have worked the northern part of the right, leaving alluvial workings,
pits, trenches and cut lines (Figures 3 to 5). The Company will seek RGM-era exploration data as part of due
diligence. No Exploration Results are reported within this announcement.
Exploration right. The permit was granted in May 2025 for a three-year term ending in May 2028 (refer
Appendix A). Under the Mining Decree 1986, it may be extended, each time by up to two years, subject to
work program and expenditure obligations and a reduction in area of at least 25% at each extension. The
holder may apply for a right of exploitation over the area; an exploration right does not of itself permit
commercial production.
REGIONAL SETTING – A PRODUCING GOLD DISTRICT
Rosebel. Rosebel, Suriname’s first large-scale open-pit gold mine, has produced more than 6 Moz of gold
since 20043. Zijin Mining acquired Rosebel from IAMGOLD for US$360 million in January 20232,3,4. Zijin reports
Rosebel resources of 11.6 Moz (438 Mt at 0.82 g/t Au) and reserves of 5.1 Moz (204 Mt at 0.78 g/t Au) as of 31
December 2025, on a 100% basis4.
Why this matters. Gadu Manda is approximately 4 km from an operating and expanding gold mine owned
by a major international producer, in an established mining district with infrastructure, roads and a local
mining workforce3,4. Rosebel transports ore from the Saramacca satellite deposit to its processing plant via an
approximately 36 km haul road that passes just south of the Gadu Manda Project1.
Figure 3 – Third-party small-scale open pit on the Gadu Manda right, exposing the deep tropical weathering
profile (photograph circa 2026). The workings are operated by third parties, not by the Vendor or the
Company.

Figure 4 – Trenches dug by third-party artisanal miners on the Gadu Manda right, exposing quartz veining in
weathered rock (photographs, circa 2026). No samples have been taken by the Company, and quartz
veining is not in itself evidence of gold mineralisation.

EXPLORATION PLAN
The Company’s plan is to move quickly from completion to systematic sampling:
- Verification sampling. The Company will undertake a site visit, verification sampling of the third-party
workings, and stream-sediment, soil and regolith sampling in the northern part of the right during the
exclusivity period, together with the recovery of any historical data, including RGM-era data.

- Targeting. The Company will compile field data, satellite imagery and structural interpretations to prioritise
first-pass geochemical sampling.
ACQUISITION TERMS
The Company has entered into an exclusivity agreement with N.V. Gadu Manda Wang Kai (the Vendor),
which holds 100% of the exploration right comprising the Project (Appendix A). The agreement sets out the
key commercial terms below, to be documented in a formal binding acquisition agreement, for the
Company to acquire a 90% interest in the Project, to be held through a Surinamese company (N.V.) (the
Acquisition). None of the Vendor’s shareholders, directors or officers are persons to whom ASX Listing Rule 10.1
applies.
- Exclusivity. The Vendor has granted the Company exclusivity for 60 days from payment of a US$10,000
exclusivity fee, extendable once by the Company by up to 30 days. The exclusivity fee forms part of the
total cash consideration and is non-refundable unless the Vendor breaches the exclusivity or due
diligence terms.
- Year 1 payment. Upon signing the formal acquisition agreement, which the Company expects to occur
following completion of due diligence, the Company will pay US$90,000 in cash and issue 2,500,000 CRR
shares (Consideration Shares). The Consideration Shares will be issued using the Company’s placement
capacity under Listing Rule 7.1, subject to any necessary shareholder and regulatory approvals.
- Conditions precedent. Satisfactory legal, title and technical due diligence, including confirmation of the
type, term and good standing of the right and verification sampling; the Vendor having met the right’s
work program and expenditure obligations to date (or arrangements satisfactory to the Company);
extension of the right, or confirmation to the Company’s satisfaction that it can be extended; the prior
written approval of the Minister of Natural Resources; approval of the Vendor’s shareholders; resolution of
any third-party mining activity on the right; and any approvals required under the ASX Listing Rules.
- Year 2 payment. The Company will pay US$100,000 in cash on the first anniversary of Completion. Total
cash consideration is US$200,000 over two years, including the US$10,000 exclusivity fee.
- Exploration commitment. The Company will spend a minimum of US$200,000 on exploration of the Project
within two years after Completion.
- Joint venture. CRR will hold 90% and the Vendor 10% through a Surinamese company. The Vendor’s 10%
interest is free-carried by the Company until a decision to mine, after which the Vendor may contribute
pro rata, convert its interest into a 2.0% net smelter return royalty (half of which, 1.0%, the Company may
buy back for US$1,000,000), or remain carried, with the Company recovering its funding from the Vendor’s
share of distributions. At a decision to mine, the Company may instead acquire the Vendor’s 10% interest
at fair market value set by an independent valuer.
- Alluvial mining by the Vendor. The Vendor may continue small-scale alluvial gold mining on the right to a
depth of no more than 20 metres, outside any area of mineralisation defined by the Company, in
accordance with applicable laws and at its own cost and risk.
- Reversion and withdrawal. If the Company fails to make a payment or meet the exploration commitment
when due and does not remedy the failure within 60 days of notice, its 90% interest reverts to the Vendor
at no cost. Critical Resources may withdraw at any time, including if the right is not extended, with no
further payments due, in which case its interest returns to the Vendor, including all data.

ASX:CRR
- Existing liabilities. All liabilities arising from activities on the right before Completion, including
environmental liabilities, remain with the Vendor.
- Finder’s fee. The Company will pay an independent, unrelated adviser who introduced the Project fixed
cash fees totalling US$5,000. Of this amount, US$3,500 is payable only on signing of the formal acquisition
agreement. No securities will be issued to the adviser in connection with the Acquisition.
The Company confirms that no person referred to in Listing Rule 10.11 will be issued securities in connection
with the Acquisition. The Company does not consider that the Acquisition will result in a significant change to
the nature or scale of its activities for the purposes of Listing Rule 11.1.
CAUTIONARY STATEMENTS – EARLY-STAGE STATUS, TENURE AND PROXIMITY
This announcement contains references to deposits and exploration by other parties on properties near the Gadu Manda
