As previously announced, the Placement is being undertaken in two tranches, with the second tranche of 95,000,000 shares, with attaching 47,500,000 options, to Directors to raise $475,000 (before costs), to be issued subject to shareholder approval at a general meeting of shareholders to be convened shortly. Notice given under section 708A(5) of the Corporations Act This notice is given by Critical Resources Limited (“CRR” or “the Company”) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (“Act”). On 15 September 2026, the Company issued 244,200,000 fully paid ordinary shares (CRR) and 146,100,000 listed options (CRRO, exe $0.008, exp 23/04/28) without disclosure under Part 6D.2 of the Act. In accordance with Section 708A(5)(e) of the Act, the Company hereby gives notice that: (a) as at the date of this notice, the Company has complied with: (i) the provisions of Chapter 2M of the Act as they apply to the Company; and (ii) sections 674 and 674A of the Act; and (b) as at the date of this notice, there is no information which is “excluded information” requiring disclosure for the purposes of sections 708A(7) and 708A(8) of the Act, other than as specified below. The Company continues to evaluate multiple value-adding critical minerals and technology opportunities globally and looks forward to updating shareholders as discussions progress. There is no certainty that current discussions will result in new project acquisitions and the Company will provide updates in accordance with its continuous disclosure obligations.
