REVIEW OF OPERATIONS
Critical Resources is an ASX listed company focused on the advancement and development of critical
metals projects, together with the laboratory-based evaluation of associated battery materials and thermal
management technologies.
1. Executive Summary
The first half of 2026 was a period of sustained exploration activity and technical progress for Critical
Resources Limited (“Critical Resources” or “the Company”). Field programs across the Company’s New
Zealand gold, antimony and tungsten portfolio in the Otago Region, and across the northern part of the
Mavis Lake Lithium Project in Ontario, Canada, defined and prioritised a pipeline of drill-ready targets at
both. In parallel, the Company’s laboratory-based technology evaluation programs continued to
advance.
DIRECTORS’ REPORT
FOR THE HALF YEAR ENDED 30 JUNE 2026
3
The period’s programs were funded through a placement completed in February 2026 and a loyalty
options offer completed in May 2026, and were delivered alongside a renewal of the Board. Work across
the portfolio remained deliberately low-cost and high-impact, consistent with the Company’s focus on
disciplined capital management while lithium markets remain subdued and gold and antimony markets
remain strong.
Highlights:
• Mavis Lake – Ontario, Canada: 2026 exploration program defined over the northern prospects,
with 14 targets identified and field work completed at the Corona target. Government Advisory
and Environmental Consulting engaged to advance the Mavis Lake permitting pathway.
• New Zealand – Otago: permit transfers approved; shallow RC drilling confirmed a gold system at
Cap Burn; sampling confirmed a gold-antimony system at Croesus; and high-grade tungsten was
confirmed by channel sampling.
• Halls Peak – NSW, Australia: major gold-antimony-silver system emerging at the Amoco Prospect.
• Technology: solid-state lithium-ion battery evaluation program with the South Dakota School of
Mines and Technology advanced during the period.
• Corporate: $1.75 million placement completed in first quarter 2026; loyalty options offer completed
in June 2026; Mr Teck Eng (Alfred) Chong appointed as a Non-Executive Director in June 2026.
2. Mavis Lake Lithium Project – Ontario, Canada
Mavis Lake remains the cornerstone of CRR’s mineral portfolio, with the project’s existing 8Mt @ 1.07% Li₂O
Inferred Resource (ASX:CRR 5 May 2023) unchanged during the period. Activity in the half-year focused on
the northern part of the project, where the Company defined its 2026 exploration programs (ASX:CRR 19
January 2026), completed field work at the Corona target (ASX:CRR 13 April and 12 May 2026) and
identified 14 targets following the northward extension of the project’s prospective corridor (ASX:CRR 10
June 2026).
This work was deliberately low-cost and designed to build a drill-ready target inventory that can be
executed quickly in line with market conditions improvement. In parallel, the Company engaged SLR
Consulting (Canada) Ltd to advance a permitting road map for the project (ASX:CRR 8 January 2026),
directed at establishing a clear regulatory pathway to development. Subsequent to the period,
geochemical results prioritised the northern drill targets (ASX:CRR 17 July 2026) and claim staking
consolidated the project’s land position (ASX:CRR 19 August 2026).
Highlights:
• Resource base: 8Mt @ 1.07% Li₂O (Inferred) – open along strike and at depth.
• 14 targets identified across the northern part of the project.
• Corona target: field program completed; geochemistry prioritised northern drill targets post-period.
• Government advisory, Pathway Group, and environmental permitting advisory, SLR Consulting,
engaged to prepare a permitting road map; land position consolidated post-period.
3. Halls Peak Gold‑Antimony Projects – NSW, Australia
Halls Peak remains a prospective gold-antimony and base metals project, with the Amoco and Mayview
prospects and a pipeline of targets defined from earlier rock chip sampling, petrographic work and the re-
interpretation of aeromagnetic data. The project also hosts an Inferred Mineral Resource.
During the period the Company reported an emerging gold-antimony-silver system at the Amoco Prospect
(ASX:CRR 9 February 2026), building on the rock chip sampling, petrographic work and structural targeting
previously completed at Amoco and Mayview. The Company continued discussions with landholders to
secure the access required to complete low-impact exploration and to execute the maiden RC drilling
programs previously permitted at Amoco and Mayview. Halls Peak remains part of the Company’s
exploration portfolio and is included in the Company’s planned exploration expenditure.
DIRECTORS’ REPORT
FOR THE HALF YEAR ENDED 30 JUNE 2026
4
Highlights:
• Amoco Prospect: maiden RC drill program completed with major gold-antimony-silver system
emerging (ASX:CRR 9 February 2026).
• Mayview Prospect: orogenic gold-antimony targets defined by earlier sampling and petrographic
work. Land access negotiations continuing.
• Gibson Base Metal Project Resource base: 840,000 tonnes @ 3.7% Zn, 1.5% Pb, 0.44% Co, 30 g/t Ag
and 0.1 g/t Au (@ 2.0% Zn cut-off) (Inferred).
4. New Zealand Gold-Antimony-Tungsten Projects – Otago, New Zealand
The Company’s New Zealand portfolio, centred on the Otago Region of the South Island, became the
focus of field activity during the period. Ministry approval for the transfer of the permits was received on 26
March 2026 (ASX:CRR 26 March 2026), allowing systematic work to commence across the portfolio. At Cap
Burn, shallow RC drilling confirmed a gold system (ASX:CRR 25 March 2026). At Lammerlaw, priority targets
were defined (ASX:CRR 23 February 2026) and gold was confirmed at Devils Creek alongside a new target
(ASX:CRR 26 May 2026). At Croesus, sampling confirmed a gold-antimony system (ASX:CRR 11 June 2026).
Tungsten emerged as a second commodity theme across the portfolio during the period, with high-grade
results reported as fieldwork commenced (ASX:CRR 31 March 2026), the tungsten priority elevated
(ASX:CRR 1 May 2026), a permit expansion application lodged (ASX:CRR 14 May 2026) and high-grade
tungsten subsequently confirmed by channel sampling (ASX:CRR 23 June 2026). Subsequent to the period,
multiple new gold pathfinder targets were defined at Lammerlaw (ASX:CRR 11 August 2026). The New
Zealand portfolio matters because it gives the Company drill-ready gold and antimony targets in a Tier-1
jurisdiction at low holding cost, alongside an emerging tungsten position.
Highlights:
• Permit transfers approved, enabling systematic fieldwork across the portfolio.
• Cap Burn: shallow RC drilling confirmed a gold system. Croesus: sampling confirmed a gold-
antimony system.
• Lammerlaw: priority targets defined and gold confirmed at Devils Creek; further pathfinder targets
defined post-period. Tungsten: high-grade results confirmed by channel sampling and a permit
expansion application lodged.
5. Technology Programs
The Company holds an exclusive option over several advanced solid-state battery patents and provisional
patents from the South Dakota School of Mines and Technology. During the period the Company
continued laboratory-based technology evaluation programs. The battery materials program covers the
Company’s Dry Supersonic Deposition (DSD) cathode/electrolyte deposition process and its solid-state
electrolyte. Work during the half-year included validation of the dry cathode manufacturing process
(ASX:CRR 5 March 2026), progress on the solid-state electrolyte (ASX:CRR 18 March and 28 May 2026), and
advancement of the DSD cathode to full-format pouch cells (ASX:CRR 18 June 2026). The evaluation
program was extended during the period (ASX:CRR 30 April and 21 May 2026).
The Company holds an exclusive worldwide licence to two-phase cooling technology for lithium-ion
batteries and high-performance compute and data centre applications, held through a wholly owned
subsidiary CriticalX Neo Pty Ltd. Subsequent to the period the Company appointed a technical thermal
management adviser (ASX:CRR 20 July 2026) and entered into a co-funded collaborative research project
with CSIRO (ASX:CRR 27 August 2026).
These programs are laboratory-based evaluation and research activities. They are stage-gated, carry no
obligation to proceed, and mineral exploration remains the Company’s main undertaking.

6. Corporate & Financial Position
The Company completed a placement to raise $1.75 million before costs during the period (ASX:CRR 29
January 2026). The Company subsequently launched a loyalty options offer to eligible shareholders
(ASX:CRR 10 April 2026), the results of which were announced on 29 May 2026.
The Board was renewed during the period. Mr Teck Eng (Alfred) Chong was appointed as a Non-Executive
Director and Mr Nigel Broomham resigned as a Non-Executive Director, both effective 3 June 2026
(ASX:CRR 4 June 2026). The Company’s Annual General Meeting was held on 29 May 2026, with all
resolutions carried.
The Company also announced a change of auditor during the period (ASX:CRR 29 April 2026).
As at 30 June 2026 the Group held cash and cash equivalents of $1,219,533 (31 December 2025: $955,925)
and net assets of $29,819,337 (31 December 2025: $28,645,982). The loss after tax for the half-year was
$917,645 (30 June 2025: $770,550).
The Company continues to evaluate multiple critical mineral and technology opportunities globally and
looks forward to updating shareholders as discussions progress. There is no certainty that current discussions
will result in new project or technology acquisitions.
7. Other Projects
The Company, indirectly via its wholly owned subsidiary Gentor Resources Limited, retains majority interests
in Al Fairuz Mining LLC and Al Thuraya Mining LLC. The exploration licences over Block 4 and Block 5
previously expired and were not renewed, having reached the end of their stated renewal period, and the
Company applied for and was granted a five-year extension of the Block 5 mining licences. Discussions
with in-country management regarding the future of the projects remain ongoing.
Gentor is party to a deed with Savannah Resources Plc (SAV.L) comprising a $3.5 million loan repayable on
achievement of mine development and production milestones on Block 5, and a 1.0% net smelter royalty
over the Company's proportionate share of metal sales from Blocks 4 and 5 (Savannah Deed). Savannah
has issued Gentor a notice of default, which Gentor disputes. The parties are in discussions directed at
resolving the matter. No agreement has been reached and there is no certainty as to outcome or terms.
8. Outlook – H2 2026 Priorities
The second half of 2026 will be focused on follow-up drilling at Cap Burn in Otago, New Zealand, and on
fieldwork across the Croesus tungsten and gold-antimony targets. At Mavis Lake, low-cost technical work
will continue to advance the prioritised northern drill targets, alongside the permitting road map, so that
the project is positioned to move quickly when lithium market conditions improve.
In the technology programs, the Company will commence the co-funded collaborative research project
with CSIRO and continue the stage-gated laboratory evaluation of its battery materials and thermal
management technologies. Across all activities the Company will maintain disciplined capital
management while pursuing value-accretive opportunities aligned with its critical minerals focus.
Highlights:
• New Zealand: follow-up drilling at Cap Burn and fieldwork at Croesus, including the Granite Creek
tungsten target.
• Mavis Lake: advance the prioritised northern drill targets and the permitting road map.
• Halls Peak: continue land access discussions to enable low-impact exploration and the permitted
drilling programs.
• Technology: commence the CSIRO collaborative research project and progress the thermal
management evaluation on a stage-gated basis.
