Proposed issue of securities - CRR
Summary
Critical Resources has lodged the formal paperwork with ASX confirming the details of the capital raising announced on 31 August 2026, worth $1.6 million.
Under the raising, we're set to issue 339,200,000 new shares and 193,600,000 new options, at an issue price of $0.005 per share, with new options attaching on the basis of one option for every two new shares issued. The new shares and options will rank equally with our existing shares and options on issue.
Part of this issue, 225,000,000 new shares, is being done using our existing placement capacity under ASX Listing Rules and doesn't require shareholder approval. A further 95,000,000 new shares and 47,500,000 new options do need shareholder approval, and we've set a general meeting for that purpose, with approval targeted for 23 October 2026.
Some of the new shares and options are being issued to 62 Capital, our lead manager on the raising, as part of their fee for that role, on the same terms as other participants in the placement.
If everything proceeds as planned, including shareholder approval where required, the new securities are expected to be issued on 15 September 2026. Funds raised will go towards exploration at our existing projects, working capital, and evaluation of battery and thermal management applications.
